# Smartmarkets — Terms of Service

> Decision instrumentation infrastructure. Machine interfaces on llm.smartmarkets.ai; operator
> interfaces on smartmarkets.ai. **Smartmarkets** is the product brand; **Smartscale
> Strategies, LLC** is the legal entity you contract with (see §1).

## 1. Agreement and corporate structure

These Terms of Service ("Terms") are between you ("Customer", "you") and **Smartscale
Strategies, LLC**, a Texas limited liability company ("Company", "we", "us"), for the
smartmarkets.ai product and related services, including llm.smartmarkets.ai, APIs, CLI,
documentation, and paid artifact mints.

**Brand vs legal entity.** You interact with the **Smartmarkets**
brand at smartmarkets.ai. The **Company** is Smartscale Strategies, LLC. Parent-company
information, backoffice, and corporate policies: https://smartscale.co · howdy@smartscale.co.

If you accept on behalf of an organization, you represent authority to bind that organization.

**Assignment.** The Company may assign these Terms to a successor entity (e.g. a Delaware
corporation) that continues the Service with substantially the same terms. We will provide
notice via an updated tos_version_id and, for paying customers, a reasonable opt-out window
before a new counterparty bills you.

**Billing agent.** Payment processing may be performed by Smartscale Strategies, LLC or another
affiliated entity identified on your receipt as merchant of record. Your contract for the
Service remains with the Company unless we notify you otherwise under Assignment above.

## 2. The Service

Smartmarkets provides precomputed, machine-readable decision instruments (SICID SMI contracts),
documentation (llm.txt, openapi.json, examples), optional EMR recipes, and paid artifact mints.
We provide tools and evidence for your internal decision workflows — not recommendations to buy,
sell, merge, or transact.

## 3. Accounts and eligibility

You must provide accurate account information (e.g. email for magic-link login). You are
responsible for activity under your account and for securing API keys we issue. You must be
legally able to enter contracts in your jurisdiction.

## 4. Fees, payment, and refunds

Paid mints and subscriptions are billed via Stripe at prices shown at checkout. Fees are
generally non-refundable except where required by law or explicitly stated at purchase. Failed
or expired checkout sessions do not create paid entitlements. Taxes may apply.

## 5. Data vintage and monthly refresh (CVR)

Smartmarkets mints against a **current vintage** identified by **cvr_cycle_id** (service month).

- Precomputed boards and supported mint posture advance on a **monthly cadence** (promotion at
  **02:00 UTC** on the first calendar day of each month unless we announce otherwise).
- We update from **public regulatory and census sources** — not real-time feeds.
- **Mints bind the cvr_cycle_id at checkout.** After promotion, earlier mint receipts remain
  valid historical lineage; **remint for current truth** when decisions require up-to-date boards.
- We do not revoke API keys solely because a vintage promoted — unsupported-for-current-vintage
  means we do not warrant precomputed truth matches today's boards.

## 6. Minting, keys, and artifact access

By completing a paid mint you agree you have read:
- https://smartmarkets.ai/tos/llm.txt (these Terms)
- The relevant SICID llm.txt (e.g. https://llm.smartmarkets.ai/8150/llm.txt)
- Current vintage via /8150/cvr/current when minting 8150 artifacts

Each mint receipt stores **tos_version_id**, **cvr_cycle_id**, and org/scenario fields for audit.
API keys are tied to mint entitlements. Do not share keys outside your organization. Promotional
pricing may be allowlisted and revoked if misused.

## 7. Acceptable use

You will not: reverse-engineer or scrape the Service beyond documented APIs; abuse rate limits;
misrepresent outputs as guaranteed predictions; use outputs as the sole basis for regulated
decisions without your own compliance review; upload malware; or use the Service unlawfully.

## 8. Intellectual property and license

The Company retains rights in the Service, precomputed data products, docs, and branding.
Subject to these Terms and payment, we grant you a non-exclusive license to use minted artifacts
and API outputs for your internal business decisions. You retain rights in your own inputs; you
grant us license to process them to operate the Service.

## 9. Disclaimers

THE SERVICE AND ALL OUTPUTS ARE PROVIDED **"AS IS"** WITHOUT WARRANTIES OF ANY KIND. Outputs
derive from public data and precomputed models that may be incomplete, delayed, or incorrect.
You alone decide how to use outputs.

## 10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTSCALE STRATEGIES, LLC AND ITS OPERATORS WILL NOT BE
LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS,
LOST DATA, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE
WILL NOT EXCEED THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR
(B) ONE HUNDRED U.S. DOLLARS ($100).

## 11. Indemnification

You will defend and indemnify the Company against claims arising from your use of the Service,
your violation of these Terms, or your violation of third-party rights — except to the extent
caused by our gross negligence or willful misconduct.

## 12. Changes, governing law, and contact

We may modify these Terms by posting an updated tos/llm.txt with a new tos_version_id.
Material changes may also be noted on smartmarkets.ai. **Texas law** governs these Terms except
where conflict rules require otherwise. Disputes: **binding arbitration in Austin County, Texas**
where permitted; you may have rights to opt out where law requires.

## privacy

**Who we are.** Smartscale Strategies, LLC operates the Smartmarkets product at smartmarkets.ai
and llm.smartmarkets.ai.

**What we collect.** (1) Vercel Analytics page views — no ad cookies. (2) API logs: endpoint,
timestamp, key prefix — for billing and abuse prevention. (3) Email for login, receipts, and service email. (4) Stripe payment
metadata — we do not store full card numbers.

**What we do not collect.** Ad trackers, social pixels, clinical PHI for care delivery, or
cross-domain PII enrichment, identity-resolution graphs, or sensitive personal identifiers (SPI/NPII)
outside your enrolled org workflow.

**Data sources.** SICID outputs use federal public datasets (e.g. FDIC, Census). No proprietary
consumer credit files.

**Processors.** Vercel, Railway, Supabase, Stripe.

**Your choices.** Unsubscribe from marketing email; request account deletion via howdy@smartmarkets.ai.

**Updates.** Privacy changes ship inside this document; supersession follows the frontmatter block above.

**NEXT DAY** is our default promise for Me-Matrix decision-instrumentation provisioning after a paid SKU — unless a specific SKU quotes a longer lead time at `>_quote`.

### Closing bell · batch window

- **Closing bell:** **02:00 UTC** on each banking business day — start of the nightly batch maintenance window (serial drains · CVR promotion alignment).
- **Next opening bell:** **10:00 UTC** each business banking day · market-open posture.
- **Orders logged during the banking business-day session (before each closing bell):** delivery contract = **next US banking business day, by 02:00 UTC** (NEXT DAY in product copy).

### Longer-lead SKUs

Some BTO decision-instrumentation SKUs (slot schema · survey instance · fin wrap · SDRE edge · etc.) quote **multi-day** lead times at `>_ view quote --sku=…` — those quoted days supersede this default NEXT DAY rule for that SKU only.

## Scheduled maintenance · Me-Matrix route availability

**Scheduled window.** Smartmarkets DevOps may perform maintenance and batch drain after closing bell and before next opening bell.

**No separate notice required** for maintenance windows or changes.

**During maintenance** the Me-Matrix route (`/review/me/{org_key}/matrix`) or other Review pages may
briefly return a maintenance message instead of the full exhibit. Example copy:

## venue_di_posture · Me-Matrix assent

Smartmarkets Me-Matrix is **venue only** · **Decision Instrumentation (D-I) only** — not advisor ·
not banker of record · not a marketplace · not a success-fee or finder-fee vendor on close.

**Consent mints.** Slot opens · survey submit · agreement ack require explicit CLI opt-in
(`>_ mint …` · `>_ agreement consent …` · `>_ survey submit …` · child `--allow`).

**Single-command opt-out.** Decline any slot any time — no call · no retention dark pattern:
`>_ slot probe --id=<PROBE_ID> --decline` or `>_ consent revoke --slot=<PROBE_ID>`.

**Surveys and Q&A.** VetSuite surveys capture indicative seller/buyer posture — not binding offers ·
not LOI · not escrow. Q&A threads store hashed audit trails; raw question text may be withheld until
bilateral consent flags are set [nc].

**Platform not party to LOI.** Agreement stubs (`nda_stub` · `loi_stub`) are process markers only.
Parties · counsel · boards close in their own boardroom — Smartmarkets assembles instruments only.
